What the Seller Needed from RWPS
After a dozen years of steady income, the priorities and financial goals of the partners were changing, and they were ready to sell. This was a solid little “meat and potatoes” Main Street building; but there wasn’t too much meat on the bone for a prospective buyer. We needed to secure an investor seeking steady and hassle-free income, in lieu of a giant upside.
It’s All About the Numbers. Isn’t It?
We fielded multiple offers, but ultimately advised the sellers to go with the right buyer, not just the highest offer. We received a solid offer from a buyer that our instincts told us was reliable. He was a busy doctor with a lot on his mind, and playing games wasn’t one of them. Owning another asset nearby, we felt that he would push through the due diligence and remain standing when the smoke cleared.
Fortunately, it was the right decision.
An overlooked open permit surfaced late in the game, and a routine trip to town hall triggered a cascade of demands from a municipality looking for a pound of flesh. Because we had nurtured a good personal relationship between the buyer and seller, the deal endured through difficulties which either party could have rightfully decided to pull the plug.
As the problems found us, everyone leaned in to find solutions—RWPS, the buyer, seller, their respective counsel, and even the lender, M&T Bank, which stepped up by agreeing to close with an escrow holdback until the permit issue was resolved.
Trust and Paperwork
It wasn’t easy, but we got it done. And while there’s no substitute for a great attorney and a well-crafted contract, at the end of the day, this business works best when it is built on trust, experience and relationships, which is ultimately what got this across the line.
